Terms of Service

These Terms are the agreement between you and Russell for use of the Service. By creating an account or using Russell, you agree to them.

1. The Service

Russell ("Russell," "we," "us") provides an operating surface for businesses — software that helps you and your agents organize work and act across connected tools, available at russell.team and the application at russell.russ.team (together, the "Service").

2. Eligibility and accounts

You must be at least 16 and able to form a binding contract. You are responsible for your account, for the accuracy of the information you provide, and for activity under your credentials. Keep your credentials secure and notify us of any unauthorized use.

3. Acceptable use

You agree not to misuse the Service, including: violating any law or third-party rights; attempting to breach security or access data that isn't yours; interfering with the Service's operation; or using it to send spam or unlawful content. We may suspend access for conduct that threatens the Service or other users.

4. Connected third-party services

The Service lets you connect third-party accounts, including Google (Gmail) and Intuit (QuickBooks Online). By connecting an account you authorize Russell to access and act on the data covered by the scopes you grant. Your use of those third-party services remains subject to their own terms — including the Google APIs Terms of Service and Intuit's developer and end-user terms. You can disconnect any integration at any time, which revokes Russell's ongoing access.

5. Drafts and your approval

For outbound actions (such as sending email or writing to connected systems), Russell stages drafts and does not send or file on your behalf until you approve. You are responsible for reviewing and approving actions before they are taken.

6. Your data and privacy

You retain ownership of the content and data you provide or connect. We handle your information as described in our Privacy Policy, which is incorporated into these Terms. We do not sell your data.

7. Intellectual property

The Service, including its software, design, and content (excluding your data), is owned by Russell and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You grant us the limited rights necessary to operate the Service and provide it to you.

8. Fees

Where the Service is offered for a fee, the price and billing terms will be those communicated to you at sign-up or in a separate order. During any free or beta period, the Service is provided without charge and may change or be discontinued.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that automated outputs will be accurate or complete. You are responsible for reviewing actions before approving them.

10. Limitation of liability

To the maximum extent permitted by law, Russell will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us in the twelve months before the claim or US $100.

11. Indemnification

You agree to indemnify and hold Russell harmless from claims arising out of your misuse of the Service or violation of these Terms or applicable law.

12. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms or to protect the Service. On termination, your right to use the Service ends; sections that by their nature should survive (e.g., ownership, disclaimers, limitation of liability) will survive.

13. Changes to these Terms

We may update these Terms from time to time. We will revise the "Last updated" date and, for material changes, provide additional notice. Continued use after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the United States and the state in which Russell is established, without regard to conflict-of-laws principles. The courts located there will have exclusive jurisdiction, subject to any mandatory consumer-protection rights you have where you live.
